We are Vexel Apps LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized in Virginia, United States.
We operate the website www.studyforgeai.com (the “Site”) and related products and services that reference these terms (collectively, the “Services”). The Site hosts our Terms of Service, Privacy Policy, and other informational content; the actual StudyForge application is distributed via the Apple App Store.

These Terms of Service (the “Legal Terms”) form a binding agreement between you, whether personally or on behalf of an entity (“you”), and Vexel Apps LLC regarding your access to and use of the Services. By accessing or using the Services, you agree to these Legal Terms. If you do not agree, do not use the Services.
We may update these Legal Terms from time to time. When we do, we’ll revise the “Last updated” date above. Your continued use of the Services after changes are posted means you accept the updated terms.
The Services are intended for users 13 years of age or older. If you are under the age of majority where you live, you must use the Services only with the permission and supervision of a parent or legal guardian who agrees to these Legal Terms.
We recommend printing or saving a copy of these Legal Terms for your records.

1. Our Services
The Services provide study tools—including AI-generated notes, flashcards, summaries, and chat assistance—that process content you provide or select. Information provided via the Services may not be available or appropriate in all jurisdictions. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
The Services are not designed for, nor do they comply with, industry-specific regulations (e.g., HIPAA, GLBA, FISMA). Do not use the Services where such laws would apply to your data.
2. Intellectual Property Rights
We (and our licensors) own all rights in the Services and all content therein, including software, code, databases, designs, text, images, audio/video, and graphics (the “Content”), and all names, logos, product and service marks (the “Marks”). The Content and Marks are protected by intellectual property laws worldwide.
We grant you a limited, revocable, non-transferable license to access and use the Services and to download or print portions of the Content for your personal, non-commercial use only.
Except as expressly permitted in these Legal Terms, you may not copy, reproduce, publish, distribute, modify, create derivative works of, publicly display, or exploit the Services, Content, or Marks without our prior written consent.
We reserve all rights not expressly granted.
3. User Content & License Grants
Your Content. You may upload or provide text, images, documents, links, metadata, prompts, and other materials (“User Content”) to enable the Services to generate outputs (“Outputs”).
Ownership. You retain all ownership rights in your User Content.
License to Us. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, modify, translate, display, and create derivative works of your User Content solely to provide, operate, secure, troubleshoot, and improve the Services.
Publicity. We will not publicly display your private User Content except as you direct.
Feedback. If you send feedback or ideas (“Feedback”), you assign to us all rights in the Feedback, and we may use it without restriction or compensation.
You represent and warrant that you have all rights necessary to grant these licenses and that your User Content does not infringe third-party rights.
4. User Representations
You represent and warrant that:
- All registration information you provide is accurate and will be kept current;
- You have the legal capacity to agree to these Legal Terms;
- You are at least 13 years old;
- You will not use automated or non-human means to access the Services;
- You will not use the Services for unlawful purposes; and
- Your use will comply with all applicable laws and these Legal Terms.
5. Account Registration & Security
You may need an account to use some features. Keep your credentials confidential. You are responsible for all activity under your account. We may refuse, reclaim, or change a username that we determine is inappropriate or violates rights.
6. Purchases, Billing & Taxes
All payments for Subscriptions are processed through Apple’s in-app purchase system. Your purchases are subject to Apple’s payment terms, conditions, and refund policies, available in your Apple App Store account settings.
We do not directly process or store your payment information. All applicable taxes are collected through Apple at the point of sale.
7. Subscriptions, Trials & Auto-Renewal
Some Services are offered on a subscription basis (“Subscription”). Unless you cancel before the end of the billing period, your Subscription will automatically renew at the then-current price.
You can manage or cancel your Subscription any time in your Apple App Store account settings. Apple’s terms control billing, renewal, and cancellations.
8. Cancellations & Refunds
All refund requests must be made through Apple in accordance with their policies. We do not process refunds directly.
If you cancel, you will retain access until the end of your current paid term.
9. Software & App Licenses
If we provide downloadable software or apps, we grant you a limited, revocable, non-transferable license to install and use them solely with the Services and in accordance with these Legal Terms and Apple’s App Store rules.
10. Academic Integrity & LMS Use
Use the Services ethically and in compliance with your institution’s policies and any applicable learning management system (LMS) terms. Do not use StudyForge to cheat, plagiarize, violate exam rules, or otherwise engage in academic misconduct. You are solely responsible for ensuring your use complies with your school’s or LMS’s acceptable use, honor code, and related policies. We are not responsible for any violations arising from your use.
11. Acceptable Use (Prohibited Activities)
You agree not to:
- Access, use, or attempt to use the Services for unlawful purposes or in violation of these Legal Terms.
- Scrape, crawl, or harvest data from the Services without permission, or build a competing product using the Services or Outputs.
- Circumvent, disable, or interfere with security or access controls.
- Upload malware or harmful code or engage in denialofservice or similar attacks.
- Impersonate others or misrepresent your affiliation.
- Infringe or violate intellectual property, privacy, or publicity rights.
- Use automated means (bots, scripts) except as expressly permitted by us in writing or via documented APIs.
- Post or transmit content that is illegal, harassing, hateful, defamatory, obscene, or otherwise objectionable.
- Remove or alter proprietary notices or marks.
- Attempt to reverse engineer or extract source models or datasets from the Services except as allowed by law.
We may take action (including suspension or termination) if we believe your use violates these rules.
12. AI Output & Accuracy Disclaimers
AI features may generate inaccurate, incomplete, or misleading content. Outputs are provided for informational and educational purposes only and are not a substitute for your own study, professional advice, or independent verification. You are responsible for reviewing and verifying Outputs before relying on them.
13. Third-Party Services & Content
The Services may integrate or link to thirdparty websites, apps, AI model providers, payment processors, LMS platforms, or content (collectively, “ThirdParty Services”). We do not control and are not responsible for ThirdParty Services, which are governed by their own terms and privacy policies. Your interactions with ThirdParty Services are solely between you and the third party.
14. Service Management & Enforcement
We reserve the right (but have no obligation) to monitor use of the Services; investigate violations; remove or disable access to any content; restrict or terminate access; and take legal action where we deem necessary to protect the Services or others.
15. Term & Termination
These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Legal Terms or applicable law. Upon termination, your right to use the Services ceases. Certain provisions survive termination (e.g., intellectual property, disclaimers, limitations of liability, and indemnification).
16. Modifications, Availability & Support
We may change, suspend, or discontinue all or part of the Services at any time. We do not guarantee the Services will be available uninterrupted, secure, or errorfree. We have no obligation to provide maintenance or support unless required by law or a separate written agreement.
17. Governing Law & Venue
These Legal Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflictoflaws principles. Subject to Section 18 (Dispute Resolution), the exclusive venue for disputes arising out of or relating to the Services will be the courts located in the United States of America, and the Commonwealth of Virginia, and you consent to their jurisdiction.
18. Dispute Resolution (Arbitration)
Binding Arbitration Agreement. You and Vexel Apps LLC agree to resolve any disputes through final and binding arbitration, rather than in court, except for small claims within Virginia’s jurisdiction.
Arbitrator & Rules. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, using a single arbitrator.
Location. The arbitration will take place in Virginia, unless both parties agree to a remote hearing.
No Class Actions. You and Vexel Apps LLC agree to resolve disputes only on an individual basis and not as part of a class, consolidated, or representative action.
Time Limit. Any claim must be filed within one (1) year after it arises.

Please review our Privacy Policy at www.studyforgeai.com/privacy-policy for information on how we collect, use, and disclose personal information.
20. Corrections
The Services may contain errors, inaccuracies, or omissions. We may correct or update information at any time without notice.
21. Warranty Disclaimer
THE SERVICES, CONTENT, SOFTWARE, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERRORFREE, SECURE, OR UNINTERRUPTED.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STUDYFORGE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE LEGAL TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability will be limited to the greatest extent permitted by law.
23. Indemnification
You agree to defend, indemnify, and hold harmless StudyForge and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services or Outputs; (b) your User Content; (c) your violation of these Legal Terms; or (d) your violation of any rights of another or any applicable law.
24. User Data, Storage & Backups
We may retain and use data you provide to operate and improve the Services. While we perform routine backups, you are responsible for maintaining copies of your User Content and Outputs. We are not liable for loss or corruption of data.
25. Electronic Communications & Signatures
By using the Services, you consent to receive communications from us electronically and agree that electronic signatures, agreements, notices, and records satisfy legal requirements to the same extent as writings in hard copy.
26. Miscellaneous
These Legal Terms, together with any policies referenced (e.g., Privacy Policy, Acceptable Use, and featurespecific terms), are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remainder will remain in effect. We may assign these Legal Terms; you may not assign them without our prior written consent. No waiver is effective unless in writing. There is no agency, partnership, joint venture, or employment relationship created by these Legal Terms. These Legal Terms will not be construed against the drafter.
